Terms of Service

These Terms of Service constitute a legally binding agreement between you and Cory's Entities. These Terms govern corysentities.com, nexo-doc-os.corysentities.com, nexo-mab.corysentities.com, and all current and future websites, applications, APIs, software, beta programs, AI systems, automation systems, document systems, trading systems, products, brands, subdomains, subsidiaries, affiliates, successors, and business units operated by Cory's Entities.
By accessing or using any Service, you agree to these Terms. If you do not agree, do not use the Services.
These Terms incorporate by reference the Privacy Policy, Cookie Policy, Acceptable Use Policy, DMCA Policy, AI Terms, API Terms, Beta Terms, Subscription and Billing Terms, Enterprise Terms, Data Processing Addendum, and any additional terms posted by Cory's Entities.
1. Acceptance of Terms
Your access to or use of any Service constitutes acceptance of these Terms and all incorporated policies. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.
2. Eligibility
You must be at least eighteen (18) years old, have legal capacity, and not be prohibited by law from using the Services. We may refuse service to any person, entity, or jurisdiction at our sole discretion.
3. Experimental Services
Unless expressly stated otherwise, every Service is beta, experimental, developmental, pre-release, and under active development. Bugs, errors, interruptions, downtime, data loss, unexpected behavior, inaccurate outputs, incomplete functionality, and security vulnerabilities may occur. You assume all risks associated with use.
4. Services Subject to Change
We may add, remove, restrict, suspend, replace, discontinue, modify, or reprice any Service, feature, API, account type, functionality, platform capability, or integration at any time without notice. No feature or Service is guaranteed to remain available, and users have no vested right in any current or future capability.
5. Accounts and Security
You are responsible for maintaining credential confidentiality, securing devices and accounts, all activity under your account, and promptly notifying us of unauthorized access. We are not liable for losses caused by compromised credentials or user-side security failures.
6. User Responsibility
You are solely responsible for verifying information, maintaining backups, complying with laws, reviewing outputs, and making independent decisions. You may not rely exclusively on any Service output, AI output, trading signal, analytics result, generated document, or automation.
7. No Professional Advice
Nothing in the Services constitutes legal, tax, accounting, investment, financial, fiduciary, regulatory, medical, or other professional advice. No fiduciary, attorney-client, broker-client, investment adviser, or professional relationship is created. Trading and investing involve substantial risk, including total loss of capital.
8. Artificial Intelligence Disclaimer
AI outputs may be inaccurate, incomplete, outdated, biased, hallucinated, misleading, or unsuitable for your use case. You must independently verify all AI-generated content and may not rely on it as the sole basis for decisions.
9. Intellectual Property
All rights, title, and interest in the Services, including source code, software, APIs, designs, user interfaces, documentation, databases, data structures, algorithms, models, AI systems, trademarks, logos, branding, proprietary methods, workflows, know-how, and business processes, are owned by Cory's Entities or its licensors. No rights are granted except as expressly stated.
10. User Content
You retain ownership of content you submit. You grant Cory's Entities a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to host, store, reproduce, process, analyze, display, transmit, adapt, secure, improve, and operate the Services using your content, including system improvement and model or workflow improvement where legally permitted and consistent with posted policies.
11. Feedback
You grant Cory's Entities a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free right to use, commercialize, modify, implement, distribute, and exploit any feedback, suggestions, ideas, feature requests, or improvements without restriction or compensation.
12. Third-Party Services
The Services may depend on brokers, exchanges, AI providers, cloud providers, APIs, data providers, payment processors, analytics services, and integrations. We do not control and are not responsible for third-party failures, outages, data loss, inaccuracies, security incidents, or misconduct.
13. Suspension and Termination
We may suspend, restrict, disable, delete, terminate, or refuse access to any account or Service at any time, for any reason or no reason, with or without notice, and without liability. We may delete account data unless prohibited by law.
14. No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED AS IS, AS AVAILABLE, AND WITH ALL FAULTS. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, UPTIME, PERFORMANCE, SECURITY, COMPATIBILITY, AND RESULTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORY'S ENTITIES AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DATA LOSS, BUSINESS INTERRUPTION, LOST PROFITS, LOST REVENUE, LOST OPPORTUNITIES, TRADING LOSSES, INVESTMENT LOSSES, AI ERRORS, SOFTWARE DEFECTS, SECURITY INCIDENTS, THIRD-PARTY FAILURES, API FAILURES, CLOUD FAILURES, OR USER MISUSE. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF US $100 OR AMOUNTS PAID BY YOU TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
16. Indemnification
You agree to defend, indemnify, and hold harmless Cory's Entities, its owners, employees, contractors, affiliates, successors, agents, and licensors from claims, liabilities, damages, losses, costs, and expenses, including attorneys' fees, arising from your use of the Services, content, conduct, legal violations, or breach of these Terms.
17. Arbitration, Class Waiver, and Jury Waiver
Any dispute arising from or relating to the Services or these Terms shall be resolved by final and binding individual arbitration administered by the American Arbitration Association under applicable rules. Claims may only be brought individually, not as a class, collective, representative, or private attorney general action. To the maximum extent permitted by law, you waive any right to a jury trial.
18. Governing Law
These Terms are governed by Florida law, without regard to conflict-of-law principles. Subject to arbitration, any non-arbitrable proceeding shall be brought exclusively in courts located in Florida.
19. Privacy and Data
We may collect, process, analyze, store, transmit, and use operational, analytical, diagnostic, technical, security, and usage information consistent with applicable law and our Privacy Policy.
20. Force Majeure
We are not liable for delay, failure, interruption, or inability to perform caused by events beyond our reasonable control, including natural disasters, cyberattacks, infrastructure failures, vendor failures, labor disputes, war, terrorism, pandemics, government action, regulatory changes, internet failures, and cloud outages.
21. Electronic Communications and Signatures
You consent to electronic communications and agree that electronic signatures, clicks, account registrations, acknowledgments, and other electronic actions are legally binding.
22. Severability; Survival; Entire Agreement
If any provision is unenforceable, the remainder remains effective. Provisions concerning intellectual property, licenses, disclaimers, limitations of liability, indemnification, arbitration, governing law, class waiver, jury waiver, and provisions intended to survive shall survive termination. These Terms and incorporated policies constitute the entire agreement regarding the Services.
